Overview
1.1 / Project-Based Services
We provide AI-native development, research, and design services tailored to startups, researchers, and business teams building products at founder speed. Each engagement is scoped and priced based on deliverables, timeline, and complexity. All deliverables and expectations are clearly outlined before work begins.
1.2 / Retainer Services
Our work includes code implementation, prototype development, user-facing design, documentation, and strategic consulting. We focus on helping you bring your ideas to life, whether they originate from academic labs or commercial ambitions.

Services Terms
2.1 / Project Scope
A detailed project proposal will outline the key terms: scope, deliverables, timeline, and payment schedule. Any revisions must be documented in writing and agreed upon by both parties. Substantial scope changes may require renegotiation of terms.
2.2 / User Access & Control
Clients may be granted access to staging environments or AI dashboards to review progress. Such access is temporary and intended solely for project evaluation. Final deployments and source code are handed over upon completion and payment.

Scope of Work
3.1 / Included Services
Our core services include AI workflow prototyping, infrastructure setup, backend integration, UX for complex tools, and product strategy for AI-driven systems. We design for extensibility, reproducibility, and data governance by default.
3.2 / Excluded Services
We do not provide services such as on-call maintenance, long-term hosting, or generic customer service. Legal, regulatory, or compliance consulting is outside our domain unless specified in writing.

Client Responsibilities
4.1 / Required Materials
Clients must provide clear input data, relevant research, branding elements, user flows, or API access at project kickoff. Delays in delivery may shift project timelines. All confidential materials remain client-owned.
4.2 / Communication
We require a designated project contact to provide timely feedback and facilitate alignment. Our process is structured around weekly async updates and milestone reviews. Lack of communication beyond 14 days may pause the engagement.

Intellectual Property
5.1 / Rights and Ownership
Unless otherwise specified, clients own all final deliverables upon full payment. Conjex retains the right to reference anonymized outcomes (e.g. UI, diagrams, or strategy) in our portfolio. We never use client data for model training unless explicitly authorized.
5.2 / File Delivery
Final work files will be delivered in the formats agreed in your contract. Source code, model weights, or design systems will be shared via secure GitHub repos or download links. All IP will be delivered to you in your preferred format.

Revisions and Changes
6.1 / Project Revisions
We support iterative delivery across defined milestones. Each scope includes a pre-agreed number of revision rounds. Additional rounds or fundamental pivots (e.g. change of use case, retraining) may require a scope re-alignment.
6.2 / Scope Changes
Any major changes such as altering the target user, switching the underlying data model, or changing from B2B to B2C will be considered a scope pivot and may require a new contract.

Payment Terms
7.1 / Project Payments
Standard policy: 50% upfront to initiate work, 50% upon delivery of final agreed deliverables. This applies only to commercial collaborations.
7.2 / Variations by Project Type
For commercial engagements (e.g. startups, enterprise innovation teams), the 50/50 model applies. For non-commercial engagements including academic research pilots, pro bono collaborations, or grant-funded projects, alternative arrangements (such as milestone-based or deferred terms) can be discussed individually.

Cancellation and Termination
8.1 / Project Cancellation
Clients may cancel projects with written notice. Deposits are non-refundable unless otherwise agreed. Work completed beyond the deposit amount must be paid proportionally.
8.2 / Inactive Termination
Projects paused for more than 30 days without notice will be archived. A reactivation fee may apply. If timelines are exceeded due to client-side delays, we reserve the right to terminate or rescope.

Confidentiality
Each party agrees to maintain confidentiality over all proprietary information shared during the engagement. This includes product ideas, research data, technical architecture, and user data. Breaches will result in immediate termination and may incur liability. A separate NDA may be signed if required.

Liability and Indemnification
10.1 / Limitation of Liability
Our liability is limited to fees paid for the specific project. We are not liable for indirect, incidental, or consequential damages, or for business decisions made based on our deliverables. Our tools are intended as decision-support systems, not replacements for legal, financial, or medical professionals.
10.2 / Use at Own Risk
We are not responsible for unintended use or misuse of tools deployed post-delivery. Model hallucinations, inference bias, or API failures are known risks of all AI systems.

General Terms
11.1 / Jurisdiction & Contracts
We operate as an independent contractor, and no employment relationship is created by these terms or any project agreement. Each party is responsible for their own taxes and business expenses. No benefits or employee rights are implied or created by our working relationship.
11.2 / Warranties
We do not guarantee outcomes. AI systems are probabilistic by nature. We promise best-effort delivery with clear documentation, logs, and reproducibility for your auditability.

Dispute Resolution
In case of dispute, we strongly recommend informal resolution within 14 days. If unresolved, mediation will be pursued via a mutually agreed third-party. Legal recourse is the last resort.

Modifications
This document may be revised with 30 days’ prior notice. Material changes will be highlighted in email or written communication. Continued use of our services implies acceptance.

Entire Agreement
These Terms of Service, together with any signed proposal documents, constitute the full agreement between Conjex and the client, superseding all prior conversations or understandings.
By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
